Terms of service
The terms for using this website, a hotel’s guest guide, and the studio. Please read sections 9 to 11: they limit what we are responsible for.
1. Who these terms are between
These terms are an agreement between you and Compass Tech Labs LLC, a Massachusetts limited liability company based in Boston, Massachusetts, USA, which makes and operates CGXP Studio (“CGXP,” “we,” “us”). They cover:
- this website, cgxpstudio.com;
- the guest guides built with CGXP, at cgxp.app or at a hotel’s own address; and
- the studio, app.cgxpstudio.com, where our team and hotel staff run a guide.
By using any of them you accept these terms. If you use the studio for a hotel or another business, you accept them for that business and confirm you are authorized to. If you do not accept them, please do not use the service. You must be old enough to form a binding contract where you live, and at least 16.
2. Hotels, and which terms win
A hotel, hotel group or management company that works with us (a “Customer”) has a signed agreement with us, together with any order or statement of work under it (the “Agreement”). The Agreement governs fees, payment, the services we perform, confidentiality and the length of the relationship. Where the Agreement and these terms differ, the Agreement applies. Everyone the Customer invites to the studio uses it under the Customer’s Agreement and these terms.
3. What CGXP is, and whose guide it is
CGXP is software: a tool with which a guest guide is designed, built, hosted and kept up to date. A guide’s content belongs to, and is the responsibility of, the Customer that publishes it — its pages, recommendations, opening hours, prices, contacts, house rules, links, photographs, logos and anything its staff write or approve. Where we write, draft, translate, gather or arrange content for a Customer, we do so on its behalf and it is the Customer’s to review and approve before and after publishing. We do not independently verify, endorse or guarantee any business, place, product or event a guide mentions.
4. Guests
If you are a guest using a hotel’s guide, our guest terms & privacy page sets out, in short, how these terms apply to you. In particular: a guide is information, not a guarantee; recommendations are suggestions; businesses and websites a guide links to are responsible for themselves; the concierge is automated; and nothing in a guide is for emergencies — call your local emergency number or the front desk. A private link that shows a door or lock code is for your stay only and must not be shared.
5. Studio accounts
- Accounts are by invitation only, and belong to the person invited. Do not share one.
- Keep access to your email account secure: it is how you sign in. Tell us right away at support@cgxpstudio.com if you think someone else has used your account.
- The Customer decides who its staff are and what role each has, and is responsible for what they do in the studio. Everything changed in the studio is recorded under the name of the person who changed it.
- We may suspend or close an account that is misused, that puts the service or others at risk, or at the Customer’s request. Deleting an account ends its access; its name stays on the record of what it did.
6. Customer content
The Customer keeps all rights in its content. It gives us a non-exclusive, worldwide, royalty-free license to host, copy, store, adapt (for example resize, translate or reformat), display and transmit that content only as needed to provide, secure and support the service, and for no other purpose. The Customer confirms that it has every right, license and consent needed for its content — including photographs, logos, typefaces (whose web licenses it must hold) and the words of anyone quoted — and that the content, and our use of it under these terms, does not infringe anyone’s rights or break any law. We may remove or disable content we reasonably believe is unlawful or infringing, or that endangers anyone, and will tell the Customer when we do.
7. Artificial intelligence
Some features use artificial intelligence: the guest concierge, and tools that draft, translate, summarize or check content. AI output can be inaccurate, incomplete or out of date, even when it sounds certain. The concierge answers from the Customer’s guide and is designed not to go beyond it, but its answers are not a promise, booking, representation or advice by the Customer or by us. Output the Customer publishes becomes its content, which it is responsible for reviewing. We do not use Customer content or guests’ questions to train AI models, and our AI providers’ terms do not allow them to.
8. Acceptable use
Nobody may use the service to:
- break the law, infringe anyone’s rights, or publish anything defamatory, deceptive, discriminatory, obscene or harmful;
- reach, or try to reach, information, accounts or parts of the service not meant for them;
- probe, scan or test the service’s security, except as §13 allows;
- send automated requests, questions, calls or inquiries in bulk, scrape or copy guides, or overload the service;
- upload malicious code, or interfere with anyone else’s use;
- copy, resell, reverse-engineer or build a competing product from the service, except where the law allows this regardless of these terms.
We limit how often automated requests reach the service and may block access that breaks these terms.
9. Third-party services
The service works with, and guides link to, services run by others: maps and place details from Google, videos from YouTube, typefaces from Adobe, AI from Anthropic and OpenAI, messaging and phone apps, and every website, booking page and business a guide mentions. Those are governed by their own terms and privacy policies, and we are not responsible for them, their availability, or any dealings between you and them. Map features are subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
10. Disclaimer of warranties
THE SERVICE, EVERY GUIDE, AND ALL CONTENT AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY STATED IN AN AGREEMENT, AND TO THE FULLEST EXTENT THE LAW ALLOWS, COMPASS TECH LABS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY INFORMATION IN A GUIDE, OR ANY ANSWER FROM THE CONCIERGE, IS ACCURATE, COMPLETE OR CURRENT, OR THAT ANY BUSINESS, PLACE OR EVENT IT MENTIONS IS OPEN, SAFE OR AS DESCRIBED.
11. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) COMPASS TECH LABS LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BOOKINGS, GOODWILL OR DATA, HOWEVER CAUSED AND EVEN IF ADVISED OF THEIR POSSIBILITY; (B) WE ARE NOT LIABLE FOR ANY LOSS ARISING FROM RELIANCE ON A GUIDE’S CONTENT OR THE CONCIERGE’S ANSWERS, OR FROM ANY BUSINESS, WEBSITE OR SERVICE A GUIDE MENTIONS OR LINKS TO; AND (C) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE FEES THE CUSTOMER PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR, FOR ANYONE WHO HAS PAID US NOTHING, ONE HUNDRED US DOLLARS.
These limits do not apply to liability that cannot lawfully be limited, including for gross negligence, willful misconduct or fraud, and nothing in these terms limits a right a consumer has under Massachusetts General Laws chapter 93A or any other consumer protection law that cannot be waived. An Agreement may set different limits between us and a Customer.
12. Indemnity
A Customer will defend and indemnify Compass Tech Labs LLC, its members and staff against any third-party claim, and the resulting losses, costs and reasonable legal fees, arising from its content (including a guest’s reliance on it), its or its staff’s use of the service in breach of these terms or the law, or its dealings with its guests. We will tell the Customer promptly of any such claim, let it control the defense, and cooperate at its cost; it may not settle a claim in a way that admits fault by us without our consent.
13. Security research
If you believe you have found a security problem, tell us at support@cgxpstudio.com before telling anyone else. We will not pursue anyone who reports one in good faith, does not access, change or keep other people’s data beyond what is needed to show the problem, and gives us reasonable time to fix it.
14. Ownership, feedback and copyright
The CGXP software, its design, its text and our trademarks belong to Compass Tech Labs LLC, and these terms give nobody any right in them beyond using the service as intended. If you send us suggestions, we may use them freely without obligation. Photographs of places a guide recommends belong to those places or to whoever took them, and are used with permission or from the places’ own public pages.
If you believe something in the service infringes your copyright, send us a notice at support@cgxpstudio.comidentifying the work, where it appears, your contact details, a statement that you believe in good faith the use is not authorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, and your signature. We will remove or disable material that is the subject of a valid notice and, where appropriate, end the access of repeat infringers.
15. Suspension, ending and your data
We may suspend access, in whole or in part, where it is needed to protect the service, its users or the public, to comply with the law, or where these terms or an Agreement are seriously breached, and we will restore it once the reason is resolved. The Agreement governs how a Customer’s service ends. When it does, the Customer may ask within 30 days for an export of everything we hold about its hotel, in files it can open; after that we may delete it, subject to §8 of our privacy policy and what the law requires us to keep. Sections that by their nature should survive the end of these terms do.
16. Things outside our control, and time limits
We are not responsible for a failure or delay caused by events beyond our reasonable control, including the failure of a hosting, network, AI or map provider, power or internet outages, cyber-attacks, natural disasters, war, labor disputes or acts of government. To the extent the law allows, any claim relating to the service must be brought within one year after it arose.
17. Law, courts and disputes
These terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict-of-laws rules. Before bringing any claim, please contact us at support@cgxpstudio.com and give us 30 days to try to resolve it. Any claim that is not resolved must be brought only in the state or federal courts located in Suffolk County, Massachusetts, and both sides consent to their jurisdiction. For claims between us and a business, both sides waive trial by jury to the extent the law allows. If you use the service as a consumer, you keep any right to bring a claim in the courts where you live and any protection the law there gives you that cannot be waived.
18. General
- Changes. We may update these terms; the date at the top says when. If a change is material we will tell Customers at least 30 days before it takes effect. Continuing to use the service after that means accepting the new terms.
- Electronic notices. You agree we may give notices electronically, by email or in the service, and that they satisfy any requirement to be in writing.
- Entire agreement. These terms, our privacy policy, and any Agreement are the whole agreement about the service and replace earlier understandings about it.
- Severability and waiver. If a provision is unenforceable, it is limited to the extent needed and the rest stays in force. Not enforcing a provision is not a waiver of it.
- Assignment. Nobody may transfer these terms without our consent, except that we may transfer them with our business or its assets.
- Export and sanctions. The service may not be used where, or by anyone with whom, US law prohibits it.
- No agency. Nothing in these terms makes either side the other’s partner, agent or employee.
